Renuka Holdings unit proposes amalgamation of export arm

Renuka Holdings PLC’s unit Renuka Enterprises (Pvt) Ltd has proposed an amalgamation with its fully owned subsidiary Renuka Agro Exports (Pvt) Ltd, as part of a group restructuring move, the company said in a corporate disclosure.

The boards of both entities approved the amalgamation by resolutions dated February 12, under Sections 239 and 242(1) of Sri Lanka’s Companies Act No. 07 of 2007. Renuka Enterprises, a wholly owned subsidiary of Renuka Holdings, will continue as the amalgamated company.

Directors said the move is in the best interest of both Renuka Enterprises and Renuka Agro Exports.

The amalgamation is expected to take effect on March 20, 2026, subject to the issuance of a Certificate of Amalgamation by the Registrar General of Companies. The company said a further announcement will follow once the required documentation is filed and the certificate is received.
